1. Introduction General
These Terms & Conditions govern the use of services provided by JDS TECHNOLOGY including IT services, software solutions, digital marketing, and RCS messaging support. By availing our services, the client agrees to these terms.
2. Scope of Services Services
We provide services including (but not limited to):
- Website & Web Application Development
- Mobile App Development
- Software, ERP & CRM Solutions
- Digital Marketing & Automation
- WhatsApp / RCS Messaging Services (setup, templates, campaigns, support)
- Bulk Messaging, Campaign Setup & Technical Support
Service scope is strictly limited to what is mentioned in the approved proposal / quotation / agreement.
3. RCS & Messaging Compliance Compliance
- Client is solely responsible for message content, templates, and campaign intent.
- All RCS campaigns must comply with telecom operator policies, platform rules, and applicable Indian laws.
- Misleading, illegal, adult, gambling, spam, or prohibited content is not allowed.
- JDS TECHNOLOGY is not liable for template rejection, number blocking, sender suspension, or penalties imposed by operators/platforms/regulators.
Important: Ensure end-user consent (opt-in) before sending any promotional or transactional messaging.
4. Client Responsibilities Client
- Provide accurate business details, documents, branding assets, and approvals on time.
- Maintain confidentiality of any credentials/APIs shared.
- Ensure customer opt-in, and keep records of consent where required.
- Timely payments as per agreed billing cycle.
5. Payments & Billing Billing
- Payments are generally advance unless agreed otherwise in writing.
- Setup fees, monthly charges, renewal fees, and message costs are non-refundable.
- Delayed payment may cause suspension/termination without notice.
- Taxes (GST or others) will be charged as applicable.
6. No Guarantee Policy Disclaimer
- No guaranteed delivery rates, response rates, conversions, leads, or sales.
- Delivery depends on telecom operators, device compatibility, user settings, and network conditions.
7. Data Privacy & Confidentiality Privacy
- Client data is used only for service delivery and support.
- We do not sell client data.
- We are not responsible for breaches caused by third-party platforms/operators or client negligence.
8. Service Suspension / Termination Control
We may suspend or terminate services if:
- Client violates policies, laws, or platform guidelines
- Payment defaults occur
- Misuse, fraud, or spam activity is detected
No refunds will be issued in such cases.
9. Limitation of Liability Liability
- We are not liable for business loss, revenue loss, or indirect damages.
- We are not liable for third-party downtime or service failures.
- Maximum liability shall not exceed the amount paid for the specific service.
